1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Oshi platform, including the website, mobile applications, merchant tools, APIs, and any related services (collectively, the "Platform") operated by Oshi Technologies, Inc. ("Oshi," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, Redemption Terms, and any additional program-specific terms (including the Rewards Program Terms below). If you do not agree, you must not use the Platform.

2. What Oshi Is (and Is Not)

Oshi provides a merchant-funded Bitcoin rewards and loyalty platform. Merchants use Oshi to create reward offers for their customers, and customers may earn, redeem, and withdraw Bitcoin rewards subject to these Terms.

Oshi is not a bank, not a cryptocurrency exchange, not a broker, not a wallet provider, and not a money transmitter. Oshi does not provide financial, investment, tax, or legal advice. Participation in Oshi is a loyalty and promotional program, not a financial account.

3. Definitions

• "Merchant" means a business that offers Bitcoin rewards through Oshi.
• "Customer" means a person who earns rewards from a Merchant through Oshi.
• "Rewards" means Bitcoin-denominated loyalty rewards ("sats") issued through the Oshi Platform.
• "Reward Balance" means the amount of Rewards credited to a Customer's Oshi account.
• "Pending Rewards" means Rewards that are subject to a holding period and not yet withdrawable.
• "Available Rewards" means Rewards that may be redeemed or withdrawn.
• "Holding Period" means the delay between a purchase and when Rewards become Available.
• "Redeem" means using Rewards for merchant-specific store credit or discounts.
• "Withdraw" means sending Rewards to a Customer's external Bitcoin Lightning address.

4. Eligibility

You must be at least 18 years old and legally capable of entering into a contract to use Oshi.

You represent that you are not located in, organized in, or ordinarily resident in any country or territory subject to U.S. sanctions, and that you are not listed on any U.S. government restricted-party lists (including OFAC lists).

We may refuse or terminate access at any time to comply with law, prevent fraud, or protect the Platform.

5. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account and any devices or email addresses used to access Oshi.

You may not create multiple accounts to abuse rewards, self-refer, or manipulate the Platform.

SMS and Electronic Communications

By providing a phone number to a Merchant and opting in to receive communications, you authorize Oshi to send you automated or transactional SMS messages related to your Rewards and account, including links to your rewards portal.

Message and data rates may apply. You may opt out at any time by following the instructions in the message or contacting support.

Consent to Electronic Records and Signatures

By accessing or using the Platform, you consent to receive all agreements, notices, disclosures, and other communications electronically, including via email, SMS, or through the Platform.

You agree that electronic records satisfy any legal requirement that such communications be in writing, and that your electronic acceptance — including clicking "I agree," submitting forms, or otherwise using the Platform — constitutes your legal signature with the same force and effect as a handwritten signature.

You may withdraw this consent by contacting us; however, doing so may limit or prevent your ability to use the Platform or receive required communications.

6. Merchant Programs

Merchants may define reward rates, caps, exclusions, categories, and eligible transactions. Merchants are responsible for their products, pricing, customer service, refunds, returns, and legal compliance.

Oshi may display Merchants and their offers in a directory or marketplace for discovery purposes. Oshi does not sell Merchant products and is not responsible for Merchant fulfillment.

7. Rewards Program Terms

7.1 Earning Rewards

Customers may earn Rewards based on qualifying purchases at participating Merchants. Rewards are calculated based on Merchant-defined rules and Platform tracking. Oshi does not guarantee that every transaction will result in Rewards.

7.2 Holding Period

Rewards are subject to a Merchant-selected Holding Period (typically 30–90 days) to protect against refunds, chargebacks, and fraud. During the Holding Period, Rewards are Pending and cannot be withdrawn.

7.3 Reversals and Adjustments

If a purchase is refunded, charged back, disputed, or partially refunded, the associated Rewards will be reversed or reduced proportionally. If Rewards were already withdrawn, Oshi may offset future Rewards or create a negative balance.

Oshi may correct errors, duplicate credits, or system mistakes at any time.

7.4 Ledger Errors and Corrections

Reward balances displayed in the Platform are provisional records and may be adjusted to reflect corrections, chargebacks, refunds, fraud, abuse, ineligible transactions, or technical or accounting errors.

Oshi may correct, reverse, or adjust any Reward balance at any time to ensure that Rewards reflect the amounts properly earned under the applicable Merchant program rules.

You are only entitled to Rewards that were validly earned in accordance with these Terms, even if a different amount was temporarily displayed.

7.5 Claiming Rewards

Some Rewards may require the Customer to take an action (such as clicking a claim link) within a stated time. Unclaimed Rewards may expire.

7.6 Redemption

Some Merchants allow Rewards to be redeemed for store credit, discounts, or coupons. These redemptions are governed by the Merchant's rules and have no cash value.

7.7 Withdrawals

Available Rewards may be withdrawn via the Bitcoin Lightning Network to a Customer-provided Lightning address. Certain Lightning address formats may require a minimum withdrawal amount. Network or routing fees may apply.

Customers are responsible for providing a correct Lightning address. Oshi is not responsible for funds sent to incorrect or incompatible addresses.

7.8 Expiration and Inactivity

Rewards may expire or be forfeited after periods of inactivity, unclaimed status, fraud, or violation of these Terms.

7.9 Merchant Termination

If a Merchant leaves the Platform, Oshi may continue honoring already-earned Rewards, convert them to alternative redemption options, or expire them after notice.

7.10 Program Changes

Oshi and Merchants may change reward rates, offers, and rules at any time, prospectively.

8. Merchant Funding

Merchants fund Rewards using fiat payment methods. Reward funding balances are not withdrawable and exist solely to sponsor Rewards and pay platform fees. Refunds, if offered, are at Oshi's discretion and will be issued in U.S. dollars only.

No refunds will be issued in Bitcoin.

9. Taxes

Customers and Merchants are solely responsible for any taxes arising from Rewards, redemptions, or withdrawals. Oshi may collect information and issue tax forms (e.g., 1099s) as required by law. Failure to provide required tax information may result in suspension or forfeiture of Rewards.

10. Third-Party Services

Oshi uses third-party service providers to process payments and facilitate Bitcoin withdrawals. Your use of those services may be subject to their terms. Oshi is not responsible for third-party failures, delays, or errors.

11. Prohibited Conduct

You may not use Oshi for fraud, self-referrals, money laundering, sanctions violations, automation, scraping, manipulation of rewards, or any illegal activity.

12. Intellectual Property

Oshi and its licensors own all Platform content, trademarks, and software. You may not copy, scrape, or redistribute it without permission.

13. Disclaimers

The Platform and Rewards are provided "AS IS." Bitcoin is volatile and may lose value. Oshi does not guarantee availability, value, or accuracy of Rewards.

Rewards are not insured and are not protected by FDIC, SIPC, or any government program.

14. Limitation of Liability

To the maximum extent permitted by law, Oshi will not be liable for indirect, incidental, or consequential damages.

Oshi's total liability to you for any claim arising out of or relating to the Platform or the Rewards Program shall not exceed the value of your unwithdrawn Rewards, after any applicable corrections, reversals, or adjustments, at the time the claim arose.

15. Indemnification

You agree to indemnify and hold harmless Oshi from any claims arising from your use of the Platform, your violations of these Terms, or your business operations (if a Merchant).

16. Arbitration and Class Action Waiver

Disputes will be resolved by binding arbitration on an individual basis. Class actions are waived.

17. Governing Law

These Terms are governed by the laws of the State of Texas.
