Merchant Acceptable Use Policy

This Merchant Acceptable Use Addendum ("Addendum") forms part of, and is incorporated by reference into, the Merchant Agreement between Oshi Technologies, Inc. ("Oshi") and the merchant entity accepting the Merchant Agreement ("Merchant").

Capitalized terms not defined in this Addendum have the meanings set forth in the Merchant Agreement.

1. Purpose

This Addendum establishes restrictions and requirements governing Merchant's use of the Oshi platform, including the creation, funding, issuance, marketing, and administration of rewards, promotions, and related communications.

Failure to comply with this Addendum constitutes a material breach of the Merchant Agreement.

2. Prohibited Merchant Categories

Merchant may not use the Oshi platform in connection with any business, product, service, or promotion involving:

  • illegal goods or services
  • adult or sexually explicit content
  • gambling, wagering, or games of chance
  • controlled substances or drug paraphernalia
  • weapons, firearms, or explosives
  • sanctions-restricted countries, entities, or individuals
  • activities prohibited by applicable law or regulation

Oshi may update this list from time to time as required by law, payment processors, or platform risk considerations.

3. Prohibited Reward Practices

Merchant may not:

  • issue rewards for non-bona fide transactions
  • issue rewards to itself, its owners, employees, agents, or affiliates without Oshi's prior written approval
  • structure refunds, chargebacks, or cancellations to extract value from the rewards system
  • manipulate holding periods, clawbacks, or reward timing to evade platform safeguards
  • attempt to convert reward balances into cash, cryptocurrency, or withdrawable value
  • represent rewards as guaranteed, risk-free, or equivalent to cash

All rewards issued through the platform remain promotional in nature and subject to adjustment, reversal, expiration, or forfeiture in accordance with the Merchant Agreement and platform rules.

4. Marketing and Communications Restrictions

Merchant may not use the Oshi platform to:

  • conduct cold outreach or prospecting
  • send spam or unsolicited messages
  • misrepresent reward value, eligibility, or redemption terms
  • impersonate Oshi or any other merchant
  • send unrelated third-party advertising or cross-merchant promotions

Merchant is solely responsible for obtaining all required customer consents for marketing and rewards communications. Oshi relies on merchant-provided consent signals and does not independently verify customer opt-in.

5. Customer Data Use

Merchant may access and use customer identifiers and reward activity solely in connection with its own rewards program and in compliance with applicable privacy and marketing laws.

Merchant may not:

  • use customer data for unrelated purposes
  • sell or transfer customer data obtained through Oshi
  • combine Oshi-provided data with third-party data in a manner that violates law or customer consent

6. Platform Abuse and Technical Misuse

Merchant may not:

  • use automation, bots, scraping, or artificial activity
  • interfere with platform safeguards or attribution logic
  • reverse engineer or bypass platform controls
  • submit fabricated or misleading transaction data
  • upload historical transaction data for the purpose of cold outreach or prospecting

7. Enforcement Rights

If Oshi reasonably determines that Merchant has violated this Addendum, Oshi may, without notice and in its sole discretion:

  • suspend or terminate Merchant's access to the platform
  • freeze or withhold reward funding balances
  • reverse, cancel, or invalidate rewards
  • override merchant-defined holding periods or clawbacks
  • refuse refunds of platform fees or reward funding
  • cooperate with payment processors, regulators, or law enforcement

Oshi's enforcement actions may be taken immediately where necessary to protect the platform, users, or third parties.

8. Breakage and Unused Rewards

Unclaimed, expired, reversed, forfeited, or otherwise unused rewards constitute promotional breakage.

Unless otherwise required by law or expressly agreed in writing, such breakage belongs to Oshi and may be retained, reallocated, or extinguished at Oshi's discretion.

Merchant has no right to withdraw, reclaim, or demand reimbursement of promotional breakage.

9. No Obligation to Continue Program

Oshi does not guarantee continued participation, availability, or operation of any merchant program.

If Merchant's participation ends for any reason, Oshi may:

  • honor outstanding customer rewards,
  • convert rewards to alternative redemption options, or
  • expire rewards after reasonable notice to customers.

Merchant acknowledges that customers do not hold cash, stored value, or custodial accounts through Oshi.

10. Survival

The provisions of this Addendum relating to enforcement rights, breakage, liability limitations, and compliance obligations survive termination of the Merchant Agreement.
